Article II
Purposes:
The following are the purposes for which this organizations has been organized: One Small Garden is an organization dedicated to the building of gardens for charity using sustainable, earth friendly, and organic materials and methods.

Article III
Membership:
Membership to this organization will be open, by approval, to anyone who has the desire to offer their time and talents to building gardens for communities. There will be no charge for membership. Members do not have voting power in this organization.

Article IV
Meetings:
There will not be an annual meeting of membership as the only voting power is that of the Board of Directors.
Regular meetings of this organization will be held as called for by the Board of Directors. The needs and activities of One Small Garden may be discussed through e-mail, phone and/or messaging.
Special meetings will be called by the Board of Directors, as is deemed in the best interest of the organization.
A meeting of the Board of Directors must be announced with at least two weeks written or e-mail notice.

Article V
Voting:
At all meeting the vote will be by voice, phone, e-mail and/or messaging. A quorum will comprise of two thirds of the seated Board of Directors.
The original Board of Directors will comprise of 7 directors with those seven having the voting power to expand the number of directors.

Article VI
Board of Directors:
The business of this organization shall be managed by a Board of Directors consisting of seven members. All seven are equal Directors of the Board without elected officers or heads of organization. At least one of the Board of Directors shall be a resident of Washington or Oregon and be a citizen of the United States. The Board of Directors are perpetual and only to be replaced due to resignation, illegal activity or detrimental behavior.

The Board of Directors shall have control and management of the affairs and business of this organization. Such Board of Directors shall only act in the name of the organization.

Each Director will have one vote and such voting may not be done by proxy.

The Board of Directors may make such rules and regulations covering its meetings as it may in its discretion determine necessary.

Within the Seven Board of Directors there will be a Secretary who will keep the books of the organization and Treasurer who will oversee the financial records of the organization.

There shall be no single head of the organization as the as the Board of Directors will govern equally.

Article VII
Salaries:
No Board of Directors or any other member will receive compensation for work contribution.

Article VIII
Committees:
Committees for this organization will be appointed by the Board of Directors.

Article VII
Dues:
There are no membership dues assessed in this organization.

Article X
Amendments
These By-Laws may be altered, amended, repealed or added to by an affirmative vote of not less than a quorum of the Board of Directors.
